Description
Managing meetings of the Board of Directors, Committees and Shareholders by coordinating with the Board members, Nominee Directors, JV Partners, Statutory Auditors and other Internal & External Stakeholders, ensure statutory compliances applicable under the provisions of the Companies Act, 2013 read with Rules made thereunder, Secretarial Standard at timely and effective manner.
Additional Responsibilities:
1. Convening meeting of Board of Directors, Committee and Shareholders by finalizing the agenda papers in close coordination with Reporting Manageer and other stakeholders, finalize minutes of Board / Committee meeting, AGM etc., communicate the decision taken by the Board for corrective/necessary action.
2. Co-ordinate with Internal Auditors, Statutory Auditors, Secretarial and Cost Auditors and to resolve their queries.
3. Co-ordinate with all stakeholders for due-diligence during fund/debt raising and/or acquisition/takeover of the Business.
4. Provide requisite inputs and support in Bidding process and to finalize the Joint Venture Agreement, Sale Purchase Agreement, Share-Subscription Agreement etc. in close co-ordination with other stakeholders.
5. Monitor inter company funds movement and to finalize Inter-Corporate Deposit Agreement, preparing MIS for fund movement.
6. Monitor various compliance under the Joint Venture Agreement, Shareholder Agreement, MoA & AoA for JV companies.
7. Update various policies/SoPs as per group practice and ensure compliances of said Policies, SOPs etc.
8. Review important legal matters of the Company on regular basis.
9. Monitor the maintenance of Statutory & other register and records.
10. Other day to day secretarial work of the company
